Tenancy Agreement

Tenant:                                                (Hereinafter called “Party B”)

 

根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称《条例》)的规定,甲、乙双方在自愿、平等、诚实信用的基础上经协商一致,就乙方承租甲方可依法出租的房屋事宜,订立本合同。

In compliance with “Contract Law of PRC” and “Regulation of Flat Leasing of Shanghai Municipality”, both Parties through amicable consultation on the basis of party autonomy, equality and good faith, agree on the following terms and conditions as to the tenancy herein:

 

第一条:租赁期限 Duration of the Tenancy and Tenancy Extension 

1.1租赁期自                日至                日止,共   月。

如乙方在合同到期需要续租或延长租约,乙方需要提早最少一个月的时间通知甲方,甲乙双方可以签订续租合约。 

If Party B desires to renew the tenancy, subject to notifying part A at least one month prior to the expiry of this tenancy by Party B, both Parties shall enter into a new tenancy agreement.

第三条:      

3.1租金和支付方式

3.2 如乙方没有依照合同约定按时缴纳租金,乙方应每日向甲方交纳月租金的千分之五作为滞纳金。

   If Party B shall fail to effect punctual payment of rent as agreed, Party B shall pay an overdue fine equivalent to 0.5% of the monthly rent for each day of delay.

 

第四条:       保证金 Security Deposit

 

4.1双方议定租房保证金为(人民币)         元整,在合同签订后   日以前以      方式支付。

Upon the execution of this Agreement and before           , Party B shall pay to Party A security deposit of RMB            (hereafter referred to as the “Security Deposit”)as security for the due observance and performance of this Agreement by Party B.

 

4.2   除合同另有约定外,甲方应于租赁关系终止且乙方迁空、点清、交还房屋及设施,并付清所有应付费用后将保证金无息退还乙方。

Upon the expiry or sooner determination of this Agreement and the restitution of the property by Party B to Party A, Party A shall, subject to the condition that Party B has duly paid all rentals, miscellaneous expenses and other charges payable to Party A in accordance with the stipulations of this Agreement, return the Security Deposit without interest to Party B.

 

4.3   因乙方违反本合同的规定,致使本合同终止而产生的违约金、损害赔偿金及所欠的租金等费用,甲方可在保证金中抵扣,不足部分乙方必须在接到甲方付款通知后三个工作日内补足。

The compensation, damages and unpaid rental resulting from the termination due to the breach of the terms herein by Party B, will be deducted by the Party A from the Security Deposit, the shortfall after the deducting will be complemented by Party B within three working days after receiving the notice from Party A.

 

第五条:其他费用:      Miscellaneous Expenses

 

5.1乙方应承担租赁期内所发生的水,电,煤气,电讯等费用,并按单如期缴纳。

Party B will pay all the fees as to water, electricity, gas and telecommunication on time in accordance with the bills during the rental period.

 

5.2租赁房屋的物业管理费,由      方按照规定按单如期支付。

Party       shall pay the property management fee for the premises according to the rules on time.

 

5.3乙方须承担因乙方使用房屋或设备不当而发生的维修费用。

Party B agrees to pay the maintenance fee due to its unreasonable using of the property, appliances and utilities.

 

第六条:甲方的义务:Obligations of Party A

 

6.1根据本租赁合同的约定,在乙方付清租赁保证金和第一个月的租金后,甲方须按时(即租赁期开始之日或之前)将房屋及附属设施交付乙方以供其指定的员工及其家属使用。

Party A agrees that after the execution of this Agreement and the payment of the Security Deposit and the first month rental by Party B according to the provisions of this Agreement, Party A shall deliver the property and supporting facilities to Party B on time (before or at the commencing date of the duration of the agreement) in a clean and tenantable conditions for the using of the employees of Party B and their relatives.

 

6.2房屋设施如因非乙方原因而受到损坏时,甲方须在收到乙方通知后及时负责修缮的责任并承担有关的费用。

Party A agrees at its own cost, to maintain and repair the house and facilities when damaged, which is not because of Party B.

 

6.3甲方应确保对所出租的房屋享有出租的权利,并保证房屋符合相关法律法规的出租条件的规定;如在租期内,该房屋发生所有权全部或部分转移,设定它项物权或其他影响乙方权益的事情时,甲方应在此项事情发生前及时通知乙方,并保证所有权人、他项权力人或其他影响乙方权益的第三者,继续遵守本合同所有条款,反之若乙方权益因此而遭受损害或受到影响而无法正常居住时,乙方可以通知甲方解除此协议并要求甲方承担违约责任。

Party A shall guarantee that it has the legal right to lease the property that shall be in compliance with relevant leasing law and regulation. If during leasing period, the whole or part of the leased property is transferred, or other real rights set on the property that affects Party B’s right, Party A shall inform Party B in time prior to the occurrence thereof and ensure the property successors, other right owners or any other third party who might affect Party B’s interests will continuously observe all the terms and conditions of this agreement, otherwise in the event that Party B’s interests is damaged or so affected that he cannot enjoy the property as normal, Party B may terminate the agreement by notifying Party A in advance and require Party A to bear the liabilities for breach of contract.

 

6.4   甲方必须保证乙方在租赁期内正常居住,并不得干扰乙方租赁期内的正常居住生活,若由于甲方未及时履行本合同项下应尽之义务导致乙方无法正常居住,乙方有权拒付相应期间的租金或通知甲方解除合同并要求甲方承担违约责任。如因不可抗力造成乙方无法正常居住,则甲方无须承担违约责任。

Party A must guarantee the normal enjoyment of the property of Party B and shall not disturb Party B’s normal life on the premises during the leasing period. If Party A fails to discharge its obligations hereunder so that Party B cannot normally enjoy the property, Party B may at its sole discretion refuse to pay the rental of the affected period or terminate the agreement by notifying Party A and require Party A to assume relevant liabilities. If due to an act of god, force, or events out of Party A’ control, Party A should not bear any liabilities.

 

第七条:乙方的义务 Obligations of  Party B

 

7.1 乙方应按合同的规定,按时支付租金、保证金,如乙方无故在约定时间后的15天内还不能按时支付上述款项,则视为违约,甲方有权以书面形式通知乙方立即终止合同,乙方须承担违约责任。

Party B shall pay the rent, and the Security Deposit according to the Agreement. If Party B fails to pay the above sums within fifteen days after the agreed paying date without reasonable excuses, Party B is viewed to have breached the contract and Party A has the right to terminate the agreement subject to notifying Party B in writing and Party B will take the relevant liabilities.

 

7.2 乙方经甲方同意可在承租房屋内进行装修及添置设备。合同终止后,乙方可将添置的可拆运的动产部分自行拆运,并保证不影响房屋的正常使用。

Subject to consent by Party A, Party B has the right to decorate the leased house and fix other equipments. After the termination of this Agreement, Party B can remove the added personal property on the basis of not affecting the normal using of the rented property.

 

7.3   未经甲方同意,乙方不得将承租房转租或分租,并合理使用租赁的房屋。如因乙方的过失或过错致使房屋及设备受到损害,乙方应负赔偿责任。

Party B shall reasonably use the rented house and shall not lease or sublease the rented house to another party without the prior consent of the Party A. Party B will take the compensation liability if the house or equipments are damaged because of Party B.

 

7.4   乙方应按本合同的约定方法使用租赁房屋,不得擅自改变使用性质,不应存放危险物品,如因此发生损害,乙方应承担全部责任。

Party B shall legally use the rented property in accordance with this Agreement and shall not change the nature of usage, nor put any dangerous goods in it otherwise, Party B will bear all the liabilities for the damages because of this.

 

 

第八条:合同终止及解除的规定:Provisions on the termination and cancellation of the agreement

 

8.1甲、乙任何一方如需提前终止合同或期满延长合同,均应提前至少1个月通知对方,除非另有约定,提前终止方仍需承担违约责任。

The party should inform the other party one month in advance to terminate the agreement or renew the agreement. Unless otherwise agreed, the party terminating the agreement in advance shall bear relevant breach of contract liability.

 

8.2   除非乙方要求续租,租赁期满后,乙方应在当天内将承租的房屋交还甲方;如无故未按时交屋,甲方于两日后有权进入该房屋,如房内有任何乙方物品,甲方有权占有并自行处分。

Unless requesting to renew the agreement, Party B shall, upon the expiry of this agreement, return the leasehold to Party A on the expiring date. Party A has the right to enter into the house after two days thereafter and hold and dispose of Party B’s goods in the house on its own. 

 

8.3   本合同一经双方签字立即生效,除非本合同另有规定,未经双方同意不得随意终止,如有未尽事宜,甲、乙双方可另行商议。

The Agreement will be effective upon the execution by both parties and except provided for otherwise in the agreement, shall not be terminated or cancelled without the mutual agreement by both parties. Both parties shall discuss any other uncovered terms and conditions hereafter.

 

第九条:违约处理 Breach of Contract

 

9.1   除非本合同另有规定,甲、乙任何一方如未按本合同履行,并且过错方又未征得对方谅解时,则视为违约。如果甲方违约,除退还乙方租房保证金(人民币)         外,应赔偿乙方(人民币)           ,乙方保留追究甲方其他法律责任的权利。如乙方违约,甲方没收乙方的租房保证金(人民币)            ,并保留追究乙方法律责任的权利。以上情况乙方均付清租赁期内发生的水电煤及电讯等费用。

Except otherwise agreed in the agreement,  if either party has not duly performed its own obligations according to the Agreement the party shall be viewed to have breached the contract unless the defaulting party has been pardoned by the non-defaulting party. Party A, once breaching the Agreement, shall compensate Party B RMB         and return the Security Deposit of   RMB          to Party B and Party B reserves the right to make other claims to Party A. If Party B breaches the agreement, Party A will confiscate the Security Deposit of RMB          and reserve the right to make other claims to Party B.  Party B needs to pay all the fees of water, electricity, gas and telecommunication during the leasing period even in both of the above situations.

 

9.2   凡在执行本合同有关的事宜时双方发生争议,应首先友好协商,协商不成,可向有管辖权的人民法院提起诉讼。

In event of any dispute arising from implementing the Agreement, both parties shall settle the dispute through amicable consultation and failing such a settlement, both parties may refer the dispute to court.

 

第十条:备注 Notes

 

10.1 本合同一式叁份,自签字之日起生效,甲乙双方、中介方各执一份,具有同等效力。

The Agreement has three copies bearing the effect on the day after signing. Both parties and the broker hold one copy respectively with the same legal effect.

 

10.2 中文和英文的合同及合同附件具有相同的法律效力,如有任何分岐,以中文文本为准。  The Agreements and its attachments written in both Chinese and English have the equal legal effect. If any disputes occur, Chinese version will be the main reference.

 

10.3 本协议所指的乙方的权利和义务视为乙方实际使用房屋的员工的权利和义务;上述乙方员工根据本协议的个人行为(如对甲方的通知等)视同乙方的行为。

The rights and obligations of Part B shall be presumed to be that of the employees of Party B who actually posses and enjoy the property; acts (including but without limitation, notifying) taken by the said employees according to the agreement are presumed to be that the Party B.
